These Terms of Service (“Terms”) are a legal agreement between you (“User,” “you,” or “your”) and Passd (“Passd,” “we,” “us,” or “our”). By creating an account, taking a diagnostic, or accessing any part of passd.io (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Passd is an AI-native exam preparation product for people studying for a United States state real estate salesperson licensing examination. The Service provides a diagnostic assessment, a practice question bank with detailed wrong-answer explanations, a per-state Passd Score, full-length mock examinations, a spaced repetition review system, and a Readiness Score (displayed as “Passd Ready” status when earned) that predicts readiness but does not guarantee any outcome.
Passd is not a state-approved prelicensing education provider.Passd does not fulfill any state’s required prelicensing coursework, does not report course completion to any state regulatory body, and is not a substitute for the coursework required by your state to sit for a real estate licensing examination.
2. Accounts
The Service is directed to persons 18 years of age or older. To access features beyond the free diagnostic, you must create an account by providing a valid email address. Your account is for your personal use only — sharing is prohibited and will result in immediate suspension without refund.
You may not: create multiple accounts to circumvent usage limits; scrape, copy, or redistribute any content; use automated systems to access the Service; reverse engineer the Service; or use the Service to build a competing product.
3. Fees and Billing
The Service offers free and paid tiers, as described at passd.io/pricing. Current paid tiers: Solo ($49/month), Tutor ($89/month), Solo Pack ($129/90 days), Tutor Pack ($219/90 days). Prices are in USD and subject to change; changes do not affect existing subscription periods or purchased packs.
Payments are processed by Stripe, Inc. Monthly subscriptions automatically renew until cancelled. Packs are one-time purchases and do not auto-renew.
4. Cancellation and Refund Policy
You may cancel a monthly subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access through the end of that period.
Passd does not offer refunds.The free diagnostic is the evaluation period — no credit card required. By purchasing a paid tier, you acknowledge that you have evaluated the Service through the free tier.
5. Passd Score and Readiness Score
Passd Score is a prediction, not a guarantee.It is our statistical estimate of how you would score on the real exam today, based on your performance data and weighted by your state’s topic distribution. It updates as you practice.
The Readiness Score (displayed as “Passd Ready” status) is a predictive signal, not a credential. It is assigned when a user’s Passd Score is 80% or higher AND the user has scored 75% or higher on a full-length mock exam in the applicable jurisdiction. It is a strong indicator of readiness — not a promise that you will pass your examination, nor a license, certificate, or any kind of authoritative credential.
PASSD MAKES NO GUARANTEE THAT ANY USER WILL PASS ANY EXAMINATION, REGARDLESS OF WHETHER THAT USER HAS REACHED THE PASSD READY STATUS. PASSING A REAL ESTATE LICENSING EXAMINATION DEPENDS ON FACTORS OUTSIDE PASSD’S CONTROL.
6. Content
Passd owns or licenses all content in the Service. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal exam preparation.
Content is generated from publicly available state regulatory sources. Passd operates a daily automated process that checks these sources for changes and flags affected questions. However:
PASSD DOES NOT WARRANT THAT CONTENT IS CURRENT, COMPLETE, OR ACCURATE AS OF THE MOMENT OF YOUR EXAMINATION. STATE RULES AND EXAMINATION FORMATS CAN CHANGE WITHOUT NOTICE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING INFORMATION WITH YOUR STATE LICENSING AUTHORITY.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. PASSD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PASSD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RESULTS, INCLUDING PASSD SCORE PREDICTIONS, WILL BE ACCURATE OR RELIABLE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PASSD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, OR DAMAGES ARISING FROM YOUR FAILURE TO PASS ANY LICENSING EXAMINATION, INCLUDING EXAM FEES, RETAKE FEES, OR LOST INCOME. PASSD’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
9. Third-Party Services
The Service relies on third-party subprocessors for payments, hosting, database and authentication, AI model inference, speech synthesis, email delivery, and background jobs. The current list is available at passd.io/subprocessors. Passd is not responsible for the availability or performance of these services.
10. Dispute Resolution
These Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved by binding arbitration under the AAA Consumer Arbitration Rules. You waive the right to participate in a class action. You may opt out of arbitration by emailing support@passd.io within 30 days of accepting these Terms with the subject line “Arbitration Opt-Out.”
11. Changes
Passd may update these Terms at any time. Material changes will be communicated by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
